General Terms and Conditions of Sale – MultiPhysX Consulting – MPX

Definition of the parties

Between : The company MultiPhysX Consulting – MPX, located at 18 Rue de Vergennes, 78000 Versailles, with a share capital of €50,000, registered in the Versailles Trade and Companies Register under SIRET number 99468106200018 and SIREN number 99481062, represented by Frédéric Bonnin, in his capacity as President, who can be contacted via the contact form on https://www.multiphysx.com.

Hereinafter referred to as “the Service Provider” or “the Company“.

And: The natural or legal person proceeding with the purchase of products or services. Hereinafter referred to as “the Client“.

Preamble

The Service Provider offers:

• Technical consulting services in multiphysics numerical simulation, design, system optimization, and material selection;
• Custom design and manufacturing of technical plastic parts using 3D printing;
• Non-certifying training in numerical simulation and modeling;
• The sale of technical products via its website https://www.multiphysx.com.

These General Terms and Conditions (GTC) apply to all sales of products and provision of services, except where a specific written agreement exists.it.

Article 1 – Purpose

These General Terms and Conditions define the rights and obligations of the parties within the framework of:

• The sale of products (custom 3D-printed technical parts) based on quotes and orders;
• The provision of services (consulting, training, support).

Article 2 – General Provisions

• The General Terms and Conditions apply to any order placed through a signed quote.
• The Client declares having read the General Terms and Conditions and accepts them without reservation.
• The Service Provider reserves the right to modify the General Terms and Conditions at any time. The applicable General Terms and Conditions are those in effect on the date of the order or the signing of the quote.
• For services, a detailed quote will systematically be established and submitted for written acceptance by the Client before any execution.

Article 3 – Order and Contract Conclusion

For Products :

• The Client places an order via the website, following the indicated steps (selection, cart, validation, payment).
• The order is confirmed by email (frederic.bonnin@multiphysx.com) with a summary and these General Terms and Conditions attached.

For services :

• The Client receives a quote or purchase order specifying the nature, duration, price, and execution terms of the service.
• The contract is considered concluded upon the signing of the quote by both parties.

Article 4 – Prices and Payment Terms

Prices :

• Product prices are indicated in Euros excluding VAT (VAT applicable according to the Client’s location).
• Service prices are indicated in Euros excluding VAT (self-assessment of VAT for clients subject to VAT in the EU; tax-exempt for clients outside the EU).
• Shipping costs (for products) or travel expenses (for services) are billed separately, unless otherwise stated.

Payment :

• Products : Full payment upon order (bank transfer, check).
• Services : 30% upon signing the quote, 70% upon delivery of the deliverable, unless otherwise agreed.
• Any late payment will incur late payment penalties (current legal rate).

Article 5 – Delivery and Execution

For Products :

• Delivery time indicated at the time of order (excluding preparation).
• Risks are transferred to the Client upon receipt of the product.

For services :

• Services are performed according to the schedule agreed upon in the quote.
• “Delivery” is effective upon handing over the deliverable (report, 3D model, etc.).

Article 6 – Right of Withdrawal

• Products : The Client has a period of 14 days to withdraw (Art. L. 221-18 of the French Consumer Code).
• Services : No right of withdrawal for services executed with the Client’s agreement (Art. L. 221-28).

Article 7 – Guarantees

For products :

• Legal guarantee of conformity (2 years) and guarantee against hidden defects (Art. 1641 of the French Civil Code).
• The Client must report any defects within 2 months of discovery.

For services :

• The Company commits to providing services that conform to the expressed needs and professional best practices.
• In case of proven non-conformity, a correction or credit will be offered.

Article 8 – Intellectual Property

• Deliverables (reports, 3D models, etc.) remain the property of the Company until full payment.
• The Client benefits from a non-exclusive usage license for the deliverables, according to the terms of the quote.

Article 9 – Confidentiality

The parties agree to keep confidential all information exchanged during the service provision.

Article 10 – Liability

• The Company’s liability is limited to the amount of the service.
• The Service Provider cannot be held responsible for indirect damages (loss of profit, data, etc.).

Article 11 – Termination

In case of serious breach or non-payment, the Company may terminate the contract without notice.

Article 12 – Force Majeure

The execution of obligations is suspended in the event of force majeure (as defined by French case law).

Article 13 – Data Protection

Personal data is processed in accordance with GDPR. See our privacy policy.

Article 14 – Applicable Law

These General Terms and Conditions are governed by French law. Any dispute will be submitted to the courts of Versailles.
